1. Scope and Definitions

1.1 Scope

These Terms and Conditions ("Terms") govern the use of the EvoRadar platform ("Service," "Platform"), operated by Kisum GmbH ("we," "us," "our"), a company registered under German law. By creating an account or using the Service, you ("User," "you") agree to be bound by these Terms.

1.2 Definitions

• AI Engine: The proprietary artificial intelligence system that generates, evaluates, and scores startup ideas.
• Idea: A startup concept generated or evaluated by the AI Engine, presented as a card with associated analysis.
• COLD Idea: An idea evaluated and rejected by the AI Engine, available to all users for free.
• WARM Idea: An idea evaluated as promising by the AI Engine, with full analysis available behind a paywall.
• HOT Idea: A high-conviction idea reserved for the Investor Zone; not available for individual purchase.
• Idea Dice: A feature that presents random ideas for browsing, with optional paid deep analysis.
• VIP Run: A feature allowing VIP subscribers to generate new ideas for their chosen industry and market.
• Analysis: The detailed AI-generated evaluation of an idea, including competitive landscape, risk assessment, journey narrative, and market analysis.

2. Service Description

2.1 What EvoRadar Does

EvoRadar is an AI-powered platform that continuously generates and evaluates startup ideas. The AI Engine scans trends, combines signals, and produces idea evaluations that are scored and categorized. Users can browse, unlock, and use these evaluations for research and inspiration purposes.

2.2 What EvoRadar Does NOT Do

EvoRadar provides AI-generated business research and analysis, including competitive landscapes, risk assessments, and market evaluations. However, EvoRadar does not constitute:

• Financial or investment advice (we do not recommend specific investments)
• Legal or regulatory advice (consult a qualified attorney for legal matters)
• Guarantees of commercial viability, market accuracy, or business success
• Trademark, patent, or intellectual property clearance
• Due diligence sufficient for investment decisions
• Personalized consulting tailored to your specific business circumstances

All content on EvoRadar is AI-generated business research intended to inform your own decision-making. The analysis, risk scores, and evaluations represent the AI engine's assessment and should be independently verified. Any business or investment decisions made based on EvoRadar content are entirely at your own risk.

3. AI-Generated Content Disclaimer

3.1 Nature of Content

All ideas, analyses, competitive landscapes, risk assessments, market data, journey narratives, and other evaluative content on EvoRadar are generated by artificial intelligence (specifically, language models provided by Anthropic). This content is produced algorithmically and has not been verified, reviewed, or endorsed by human experts unless explicitly stated otherwise.

3.2 No Guarantee of Accuracy

AI-generated content may contain:

• Factual errors, including incorrect information about existing companies, markets, or regulations
• Outdated information that does not reflect current market conditions
• Fabricated data points, competitor names, or market statistics ("hallucinations")
• Incomplete or biased analysis
• Ideas that overlap with existing businesses, patents, or trademarks

We make no representation or warranty regarding the accuracy, completeness, timeliness, or reliability of any AI-generated content.

3.3 No Trademark or IP Clearance

The AI Engine does not perform trademark searches, patent clearance, or any form of intellectual property due diligence. An idea presented on EvoRadar may:

• Describe a product or service that already exists
• Infringe on existing trademarks, patents, or copyrights
• Overlap with protected business methods or trade secrets

It is your sole responsibility to conduct proper legal and intellectual property due diligence before pursuing any idea.

3.4 Regulatory Information

Any mention of regulatory requirements, compliance frameworks, or legal obligations within idea analyses is for general informational context only and should never be treated as legal advice. Regulatory landscapes vary by jurisdiction and change frequently.

4. User Accounts

4.1 Registration

To access certain features, you must create an account using either:

• Email-based Magic Link authentication, or
• Google OAuth sign-in

You must provide accurate information and keep your account credentials secure. You are responsible for all activity under your account.

4.2 Age Requirement

You must be at least 18 years of age to use EvoRadar. By creating an account, you confirm that you meet this requirement. We reserve the right to terminate accounts if we discover a user is under 18.

4.3 Account Termination by User

You may delete your account at any time by contacting us at info@evoradar.ai. Upon deletion:

• Active subscriptions will be cancelled (see Section 6 for refund terms)
• Your unlocked ideas will no longer be accessible
• Personal data will be handled according to our Privacy Policy

4.4 Account Termination by Us

We reserve the right to suspend or terminate your account at any time, with or without notice, if:

• You violate these Terms
• You engage in abusive use of the Service (e.g., systematic scraping, automated access, redistribution of paid content)
• You attempt to reverse-engineer the AI Engine, scoring methodology, or idea generation process
• Your payment method is declined or disputed fraudulently
• We are required to do so by law

In cases of termination for cause, no refund will be provided. In cases of termination without cause, we will refund any prepaid subscription fees on a pro-rata basis for the remaining subscription period.

5. Pricing and Payment

5.1 Pricing Tiers

EvoRadar offers the following pricing options (all prices in EUR, inclusive of applicable VAT):

Payments are processed by LemonSqueezy (Lemon Squeezy LLC), a third-party payment provider. By making a purchase, you also agree to LemonSqueezy's terms of service. We do not store your credit card or payment details directly.

5.3 Price Changes

We reserve the right to change our pricing at any time. Price changes will be communicated at least 30 days in advance via email to registered users. For active subscribers:

• Current subscription period will be honored at the old price
• The new price applies starting from the next billing cycle after the notice period
• You may cancel before the new price takes effect

5.4 Unused Quotas

Monthly quotas (Dice analyses, Quick evaluations, Deep evaluations) do not roll over to the next billing period. Unused quotas expire at the end of each billing cycle.

6. Subscriptions and Right of Withdrawal (Widerrufsrecht)

6.1 Auto-Renewal

VIP subscriptions renew automatically on a monthly basis. You will be charged at the beginning of each billing cycle. You can cancel auto-renewal at any time through the LemonSqueezy customer portal (accessible from your dashboard) or by contacting us.

6.2 Cancellation

When you cancel a subscription:

• You retain access to all VIP features until the end of the current paid billing period
• No further charges will be made after cancellation
• Previously unlocked individual ideas (EUR 10 purchases) remain accessible regardless of subscription status

6.3 Right of Withdrawal (Widerrufsbelehrung)

As a consumer within the European Union, you have a statutory right of withdrawal (Widerrufsrecht) of 14 days from the date of purchase, without giving any reason.

• Single Unlock (EUR 10): The right of withdrawal is waived upon delivery of the unlocked analysis. Before completing the purchase, you will be asked to consent to immediate delivery and acknowledge the loss of your withdrawal right.
• VIP Subscriptions: The right of withdrawal is waived for the current billing period once you have accessed any VIP exclusive content. You may still cancel future renewals at any time.

This is in accordance with Section 356(5) of the German Civil Code (BGB) and Article 16(m) of EU Directive 2011/83/EU.

6.4 How to Exercise Withdrawal

You may use the following model withdrawal form (but it is not obligatory):

6.5 Refund Policy

• Within withdrawal period (where not waived): Full refund within 14 days of receiving the withdrawal notice.
• After withdrawal period: No refund for single unlocks (digital goods delivered). For subscriptions cancelled mid-cycle, access continues until end of billing period; no partial refund is issued.
• Technical failures: If a paid analysis fails to be delivered due to a technical error on our side, we will either redeliver the analysis or issue a full refund at your choice.

7. Idea Ownership and Intellectual Property

7.1 Platform-Generated Ideas (COLD, WARM, HOT)

Ideas generated by the EvoRadar AI Engine and displayed on the platform are not exclusive to any user. Specifically:

• The same idea may be visible to and unlocked by multiple users
• The AI may independently generate similar or overlapping ideas at different times
• Paying to unlock an idea does not grant you exclusive rights to that idea, its concept, or its market opportunity
• You may use the insights from unlocked analyses for your own business research and decision-making, but you may not redistribute, republish, or resell the analysis content itself (see Section 7.4)

7.2 VIP Custom Runs and Dice Analyses

For ideas generated through VIP custom runs or Dice deep analyses:

• The resulting analysis is private to the requesting user
• We do not display VIP-generated ideas to other users or in the public idea database
• We do not use VIP-generated content to train or improve our AI Engine
• We retain a limited license to process the request through our AI pipeline for the sole purpose of delivering the analysis service
• VIP custom runs generate new ideas based on your chosen industry and market — these ideas are unique to your session

7.3 Our Intellectual Property

The following are proprietary to Kisum GmbH and protected by intellectual property law:

• The EvoRadar AI Engine, including its methodology, scoring system, signal collection process, and idea generation architecture
• The platform's source code, design, and user interface
• The structured presentation and formatting of idea analyses
• Our brand, logo, and trademarks

You may not:

• Reverse-engineer, decompile, or attempt to extract the logic of the AI Engine
• Systematically scrape, download, or copy platform content
• Use automated tools (bots, crawlers, scripts) to access the platform
• Reproduce the scoring methodology or generation process
• Claim that EvoRadar's methodology is your own

7.4 Content Usage Rights

8. No Exclusivity, No Guarantee of Quality

8.1 No Exclusivity

EvoRadar is a platform, not a consultancy. We do not guarantee exclusivity of any kind:

• Multiple users may unlock and act on the same idea
• The AI may generate similar ideas for different users or in different sessions
• We have no obligation to notify you if others are pursuing similar ideas
• Purchasing an analysis does not reserve, hold, or protect the underlying business opportunity in any way

8.2 No Guarantee of Idea Quality

The AI Engine's evaluation is algorithmic and reflects the model's assessment at a point in time. A "WARM" verdict does not mean the idea will succeed, is viable, or is worth pursuing. A "COLD" verdict does not mean the idea is definitively bad or cannot work.

Paying for an analysis does not guarantee:

• That you will find the analysis valuable or actionable
• That the competitive landscape is complete or current
• That the risk assessment accurately reflects real-world conditions
• That the market opportunity described exists or is as large as stated

The value of the service lies in the AI's analytical framework and perspective, not in the correctness of any specific claim within the analysis.

9. Service Availability

9.1 No Uptime Guarantee

EvoRadar is provided on an "as is" and "as available" basis. We do not guarantee:

• Uninterrupted access to the platform
• Any specific uptime percentage
• That the service will be free of errors or bugs
• That AI-generated content will be available at any particular time

9.2 Maintenance and Modifications

We reserve the right to:

• Perform maintenance, upgrades, or modifications at any time, which may result in temporary unavailability
• Modify, add, or remove features of the Service
• Change the AI models or methods used to generate content
• Discontinue the Service with 60 days' notice to active subscribers (with pro-rata refund of prepaid fees)

9.3 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, power outages, internet failures, or actions of third-party service providers.

10. Limitation of Liability

10.1 Maximum Liability

To the maximum extent permitted by applicable law, the total aggregate liability of Kisum GmbH for any and all claims arising out of or related to these Terms or the Service shall not exceed the total amount paid by you to us in the 12 months preceding the event giving rise to the claim.

For free users, our maximum liability is EUR 0.

10.2 Exclusion of Certain Damages

To the maximum extent permitted by law, we shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, business opportunities, or data
• Business decisions made based on AI-generated content
• Costs of procuring substitute services
• Damages arising from unauthorized access to your account
• Any losses resulting from pursuing or not pursuing an idea shown on the platform

10.3 Statutory Liability (German Law)

The limitations in Sections 10.1 and 10.2 do not apply to:

• Liability for intentional misconduct (Vorsatz) or gross negligence (grobe Fahrlassigkeit) by Kisum GmbH or its legal representatives
• Liability for injury to life, body, or health (Schaden aus der Verletzung des Lebens, des Korpers oder der Gesundheit)
• Liability under the German Product Liability Act (Produkthaftungsgesetz)
• Liability for breach of essential contractual obligations (Kardinalpflichten), in which case liability is limited to foreseeable, typical damages

11. Third-Party Services

11.1 Third-Party Dependencies

EvoRadar relies on the following third-party services:

We are not responsible for:

• Outages, errors, or policy changes by third-party providers
• Changes to AI model behavior, capabilities, or availability
• Payment processing errors or delays by LemonSqueezy
• Data breaches at third-party providers (though we will notify affected users as required by law)

11.3 AI Model Changes

The AI models used by EvoRadar may change over time (e.g., model upgrades, provider changes). This may result in changes to the style, quality, or nature of generated content. We do not guarantee consistency of AI output across different time periods.

12. User Conduct

12.1 Prohibited Uses

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Service
• Use automated means to access or scrape the Service
• Reverse-engineer, decompile, or disassemble any part of the AI Engine or platform
• Redistribute, resell, or sublicense paid content to third parties
• Create derivative products or services based on systematic extraction of EvoRadar content
• Impersonate another user or entity
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to generate content that is illegal, harmful, or violates third-party rights
• Submit malicious, abusive, or deliberately harmful content through VIP-generated content

12.2 Fair Use

We reserve the right to impose usage limits or throttle access if we detect patterns of abuse, including but not limited to excessive API calls, bulk downloading, or automated access patterns.

13. Indemnification

You agree to indemnify, defend, and hold harmless Kisum GmbH, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or related to:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of a third party
• Any business decisions you make based on EvoRadar content
• Any intellectual property claims related to ideas you pursue from the platform

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG) and conflict-of-law provisions.

14.2 Jurisdiction

For disputes with business users (Unternehmer), the exclusive place of jurisdiction is Munich, Germany.

For consumer users (Verbraucher), the statutory provisions regarding jurisdiction apply. EU consumers may also use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr/

14.3 Consumer Dispute Resolution

Kisum GmbH is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) pursuant to the German Consumer Dispute Resolution Act (Verbraucherstreitbeilegungsgesetz, VSBG).

15. Miscellaneous

15.1 Entire Agreement

These Terms, together with the Privacy Policy and any purchase-specific terms presented at checkout, constitute the entire agreement between you and Kisum GmbH regarding the use of EvoRadar.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15.3 No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.4 Assignment

We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

15.5 Language

These Terms are drafted in English. In the event of a conflict between the English version and any translation, the English version shall prevail for business users. For German consumer users, the German-language version (when available) prevails where required by mandatory law.

15.6 Amendments

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and may cancel your subscription.
